Terms of Service

01 Definitions

"Astralith Labs" / "We" – Astralith Labs, a commercial division of Domechan di Domenico Morabito, VAT No. IT08951440968.
"User" / "Customer" – the natural or legal person who purchases or uses Astralith Labs products and services.
"Module" – a software extension developed by Astralith Labs for the PrestaShop platform.
"Licence" – the non-exclusive and non-transferable right to use the Module granted to the User.
"Subscription" – an annual agreement for access to the Module and technical support.
"Website" – the astralithlabs.com website and all of its pages.

02 Subject of the agreement

I presenti Terms of Service regolano l'accesso e l'utilizzo dei Moduli PrestaShop sviluppati e distribuiti da Astralith Labs, nonché dei servizi connessi (supporto tecnico, aggiornamenti, sviluppo custom).

Accedendo al Sito, effettuando un acquisto o installando un Modulo, l'Utente accetta integralmente i presenti Termini. Se non si accettano i Termini, è necessario astenersi dall'utilizzo dei servizi.

03 User licence

When purchasing a Module, Astralith Labs grants the User a licence that is:

Non-exclusive – other users may purchase the same licence
Non-transferable – it may not be assigned to third parties without written authorisation
Limited – valid for the number of installations included in the purchased plan
Revocable – in the event of a breach of these Terms

The licence is valid for a single PrestaShop domain/installation, unless otherwise agreed in writing. For use on multiple shops, additional licences must be purchased or you must contact us for a multi-site agreement.

Custom development: For custom-built modules, the specific licence terms are defined in the quotation and in the separate agreement signed by the parties.

04 Subscriptions and payments

The Modules are available under an annual licence. Prices are stated in Euro (€) and are exclusive of VAT for business customers with a VAT number.

Accepted payment methods:

Credit / debit card via Stripe
Bank transfer (for annual subscriptions and custom development)

For subscriptions with automatic renewal via Stripe, the amount will be charged automatically at the end of the period. The User will receive an email notice at least 7 days before renewal.

For payments by bank transfer, the service will be activated or renewed within 2 business days of receipt of payment. In the event of delay, the service may be suspended.

Invoicing: A regular Italian electronic invoice is issued for every transaction, pursuant to Legislative Decree 127/2015.

05 Refund policy

We offer a refund guarantee within 14 days of the initial purchase, provided that:

The Module does not work as described in the official documentation
The issue cannot be resolved by our technical support within 5 business days
The Module has not been subject to unauthorised changes by the User

To request a refund, send an email to contact@astralithlabs.com with the subject "Refund request – [Module Name]".

Warning: Refunds do not apply to custom development services that have already started, nor to renewed subscriptions (only to the current cycle). The 14-day right of withdrawal provided by the Consumer Code does not apply to digital services whose access has begun with the user’s explicit consent.

06 User obligations

The User undertakes to:

Not distribute, resell, or sublicense the Modules without written authorisation
Not remove or alter any copyright notices present in the code
Not reverse engineer, decompile, or disassemble the Modules
Not use the Modules for illegal purposes or in violation of third-party rights or rules
Keep access credentials up to date and not share them with third parties
Provide truthful information during registration and purchase

07 Intellectual property

All Modules, source code, documentation, logos, trademarks, and Website content are the exclusive property of Domechan di Domenico Morabito – Astralith Labs and are protected by Italian and European copyright laws.

The user licence does not transfer any intellectual property rights. The User purchases only the right of use within the limits described in Article 3.

The name "Astralith Labs", the logo, and all associated trademarks are trademarks of Domechan di Domenico Morabito. Unauthorised use is prohibited.

08 Garanzie e supporto

Astralith Labs warrants that the Modules will function substantially as described in the official documentation. In the event of a bug, we undertake to release a fix within 10 business days of the verified report.

Technical support is included in the active subscription and includes:

Response to bug reports within 2 business days
Access to compatibility updates for PrestaShop
Configuration assistance by email

Support is provided in Italian and English by email at contact@astralithlabs.com.

Exclusions: Support does not cover customisations, server/hosting configurations, conflicts caused by unauthorised changes to Module code, or issues caused by unsupported PrestaShop versions (prior to 8.0).

09 Limitation of liability

To the fullest extent permitted by applicable law, Astralith Labs shall not be liable for:

Loss of data, revenue, or profits arising from the use of, or inability to use, the Modules
Indirect, incidental, or consequential damages
Incompatibility with undeclared third-party plugins, themes, or customisations
Service interruptions due to force majeure events

Astralith Labs’ maximum liability towards the Customer shall in any case not exceed the amount paid by the Customer in the last 12 months for the service subject to the dispute.

10 Suspension and termination

Astralith Labs reserves the right to suspend or revoke the licence and access to services in the event of:

Non-payment of the subscription
Breach of these Terms
Fraudulent or abusive use

The User may cancel the subscription at any time. Cancellation will take effect at the end of the already paid period, with no pro-rata refund for annual subscriptions except in the cases provided for in Article 5.

To cancel, send an email to contact@astralithlabs.com with the subject "Subscription cancellation – [Module Name]".

11 Changes to the service e ai Termini

Astralith Labs reserves the right to modify these Terms at any time. Changes will be communicated to active users by email with at least 30 days’ notice. Continued use of the service after that period implies acceptance of the new Terms.

We also reserve the right to modify, suspend, or discontinue individual Modules or features, with reasonable prior notice.

12 Governing law and jurisdiction

These Terms are governed by Italian law. For any dispute arising from or connected with these Terms, the parties undertake to attempt an amicable resolution within 30 days of notification of the disagreement.

Failing agreement, the Court of Lodi shall have exclusive jurisdiction, unless the User is a consumer pursuant to Legislative Decree 206/2005 (Consumer Code), in which case the court of the consumer’s place of residence or domicile shall have jurisdiction.

For alternative dispute resolution (ADR/ODR), the User may access the European platform ec.europa.eu/consumers/odr.
